TENNESSEE SELLER RECORDS

Close a Tennessee Sales Tax Account After Selling a Business

A seller should not assume the buyer can keep using the same sales tax registration. Review the account position and effective transfer date with your accountant before closing.

Identify who will make taxable sales

Clarify whether the transaction changes the taxpayer operating the business. Determine which sales belong on your return and when the buyer begins its own activity. See Memphis Business Brokers Team for sale guidance.

Review the registration requirements for the buyer separately. Handing over a business location does not settle the use of your sales tax account.

Reconcile the final period

Gather sales records, exemptions, credits and payments through the relevant date. Ask your accountant to confirm any tax treatment of assets sold in the transaction.

Use the current TNTAP closure instructions when your sales tax account should end. Confirm the final return deadline before closing rather than relying on the ordinary filing cycle.

Keep a clear closing file

Retain the filed return, payment evidence and account correspondence. Tell your advisors about unresolved balances or notices before purchase money is released.

Sales tax account closure and successor tax liability are related questions, but one should not be assumed to resolve the other. Plan both reviews together.

Bring your questions to the conversation.
